Requirements:
Must not be employed by or do business with the Council.
Must have a relevant degree or equivalent (NQF L7) qualification and more than 15 years in senior management in any or combination of the following fields: Accounting, Financial Management, Auditing (Internal and External), Risk Management, Treasury, Insurance, Legal, compliance or Project management.
The following membership or professional qualifications would be advantageous: CIA, CA (SA), ACCA, CFA, CISA, CISM, CIMA, RGA, IRMSA, etc.
Experience in Public Sector processes, Corporate Governance frameworks e.g. King Code, International Standards of Auditing, Internal Auditing Standards, Risk Management Standards, IFRS and GAAP.
Must be prepared to meet as often as required, but at least four (4) times a year, and must be flexible with regard to times.
The role of the Audit and Risk Management Committee will be to:
Perform duties in accordance with the approved HPCSA Audit Charter.
Advise Council in terms of the applicable legislations.
Review the adequacy and effectiveness of internal reporting processes that are in place.
Ensure that effective and reliable financial management and financial reporting processes are in place.
Maintain an effective and efficient system of internal and external audit.
Examine and review the annual financial statements before final approval.
Review the Governance monitoring.
Continuously institute best practice in relation to corporate governance.
Review compliance with all applicable regulatory requirements.
Advise on Ethics and Integrity processes including fraud prevention strategies.
Review any reports by the internal and external auditors and Management’s response thereto.
Ensure that a combined assurance model is applied to provide a coordinated approach to all assurance activities, and
Report to Council on the status of governance, risk management, compliance and internal controls within the HPCSA
